The parties hereby agree that SeptiClean, Inc. (VA SEWAGE HANDLING LICENSE PW -175-0014
Fairfax County License A 35) will perform removal services on the above referenced project as set forth
In the scope below. NO removal activities can begin Lintel a copy of the Purnp & Haul Permit is provided.
1. Summary: Install a remote monitoring device, diesel pump, piping & temporary storage vessels
as required and remove wasWwater from the site designated on the permit and transport the
wastewatef to facility listed in item 6 below, in compliance with The Sewage Handling & Disposal
Regulations July1, 20D0,
2_ Duration of Contract
The aontrart period shall be for 1 year from the date accepted by SeptiClean. Inc_ or until written
notice of revocation of the permit ar written notice from the client that permanent facIllties are in
place and pump A haul sen+ices are no longer needed.
3. Pumping Schedule
The pumping schedule shall be in accordance with that described In the permit application based
on expected sewage flows and storage capacity_ Estimated flows to be 3 to 5 loads ((P 3,300
gallons each) per Ymek based on initial occupancy up to 7 loads per day at buiid-vut.
4. Availability of Equlprn*rrt
SeptiGlean shall make sufficient equipment available to handle the expected flows_ Should
problems or emergency sltuatton9 arise. SeptlClean will suspend normal operations and devote
aff necessary equipment and personnel at its disposal to pump and haul operations
5. Emergemy Response CapoWNlty
SeptiClean's normal hours of operation are 710 am - 5.00 pm Monday through Friday.
SeptiClean has four licensed drivers on Staff that rotates evening and week end duty. Therefore,
we are weft equipped to respond to emergencies. Primary contact phone numbers follow.

7. Mantfam
Sept€Clean will provide manifests to the client at least monthly or in accordance with the
Dining schedule. Monthly, SeptiClean will provide the local Health Department or other
permitting authority with copies of manifests indicating the time, date and volume of each
load. In addition, the manifest will indicate the dlsposal sits or sites utilized and note
whether there was any overflow or spillage.
8_ Loading Area
The client shall ensure that the loading area is easily ancessihie by a targe heavy tank
Irick_ Thnre shag be suMcient gravel, paving or mud -free base. such that the truck can
enter and exit the loading area under its own power. For areas more than 1 Do feet from a
public or private right of way, the client shall provide an area where the truck can be easily
turned around without leaving the paved or graveled area. The loading area and access
shall also be free from low overhanging wires and brar►ches. If the loading or access area
are not maintained, the client shall be responsible for any towing, recovery, offloading or
street cleaning necessary.
9. Pump and Haul Coats
Pump and Haul will be billed a minimum of $ 297 per trip (based on 3,300 gallon truck
@ $0.09 per geJlnn) fpr pumping during regular business hours Monday thru Friday.
There will be a $75 per trip surcharge for emergency service, service on weekends,
holidays or after nixmal business hours_ The client Is responsible for any dump fees
assessed by the County. Services will be billed on a monthly basis and payment is due on
ret;eipt of invoice. See reverse side for collection and other terms & conditions.
Y The truck capacity is variable; price is by the gallon with a minimum load charge of
$297.
Sept0ean and the client acknowledge that initlahy, the pumping schedule may vary
due to unpredictable flows, Septi can's primary obligation Is to ensure that no sewage
sp€lis or overflows into the environment. Therefore, SeptiClean may from time to time
not be $bie to extract full loads from the facility. The rate quoted is per trip based on
extracting as much as possible from the facility.
Uneven loading areas may also prohibit SeptlClean from exhv,*g a full load.
A If the loading area is inaoosuible on a regularly scheduled pick up day due to no fault
Of Septi0ean, the client shall be billed 213 the trip rate listed above,
10. Remote Monitoring system
INSTALLATION:
SeptlClean shall provide all labor and materials to Install the wireless remote sensing
system on freestanding supports or on clients or prap,°rty owner's support system within 5
feet of the storage facility access port. Equipment to be located more than 5 feet from the
storage facility access port will be subject to additional materials charges and possible
additional labor charges.
Brice: The installation price shall be $2,275.00, which includes the first weeks' lease.

if the site is not ready for Installation, as indicated by the client, SeptiClean
may charge a re -mobilization fee of up to $175.00.
LEASE: SeptiClean leases to Client or property owner and the Client or property
owner leases from SeptiCle-an products and equipment described below
(hereinafter call `Equipment") on the terms and conditions herein contained_
One (1)wlretess remote senting system to monitor the conditions in the
storage facility as required by the Health Department_
Price: The client shall make monthly lease payments, which include monitoring fees below
of $30-00 per vmak_
The minimum lease period Is 12 weeks. Thereafter, the minimum lease period will
be 1 week.
Price includes one revision of set up below at this location anytime during
equipment rental. Additional revisfons to set up billed Fit $50 per set-up.
MONITORING. SeptfClean shall provide monitoring services for tto iisted equipment as
follows:
I_ initial set up of equipment through our wireless internet based system. includes
wiring up to 5 devices (flouts) into the system and set up of up to 5 event based
actions notifying up to 5 recipients per event.
IL SeptiClean wilt monitor the wireless remote monitoring system once per day to
determine if the system is fuictioning properly for systems where event based
actions report to SeptiClean or any of Its sister Com panes.

determine If the system is functioning properly for systems where event based
actions do not report to 5eOClean, but report to other parties. Operators of
systems leased by SeptiClean to report to other parties will be given an access
user name and password which will allow the operator to Check the system 24
hours a day by intemet or telephone.
IV. This agreement does not include (unless specifically stated below), preparation of
any applications, drawings, plans, application fees required by any federal, state
or local jurisdlctlon or agency; any third- party fees regardless of purpose; any
other equipment or cost not specifically described hereinabove. All such
cosislfees are the responsibility of this Client or property owner and the Client or
property owner agrees to promptly reimburse SEPTICLEAN for ail addltlanal
costs and expenses incurred and approved by the client plus 12.5%. SeptiClean
will provide drawings, descriptions and wiring diagrams to the designer for
inclusion in plans, as typically required by the Health Department and Semite
Sanitation Authorities.
V. The Equipment shall at ail times remain d* property of SeptlClean. The client or
property owner shall have no right, title or interest therein except as the lessee.
Client or property owner agrees to vxecute any statement, including the Uniform
Commercial Code financing statement reasonably requested by SeptiClean for
the purpose of filing and retarding to indicate that the expense, defend
SeptiClean' title in the Equipment is solely that of a Client or property owner.

Client or property owner agrees that it will, at its own expense, defend
SeptiClean' title the Equipment against claims of any third persons claiming any

Equipment shaft at ail times remain Personal property, no withstanding the fact
that it may be attached to real property or improvements by the Client or property
owner.
VI. S0131JUe2n Shall assume all krss resulting from normal wear and tear. Client or
Property owner shell bear all risk of loss and damage to the Equipment from any
other cause. Any charges for repairs that might arise from the above mentioned
damages caused by any party other than 5eptiClean will be billed to Client or
property owner at SepttClean cost plus 12.5% and are subject to payment by the
Client or property owner within 10 days after invoice date_ Client or property
owner "it indemnify and hold harmless SeptiClean from all claims, actions,
Costs, expen_ss, damages and iabikties, inclutfing attorney's fees arising out of
or in connection with the use of the Equipment by the Client or property owner,
11. Temporary Storage Vessel:
5eptiClean will provide one (1) 21,000 gallon temporary portable storage tank with a "1% shaped
floor & th9 floor level V butterfly valves. The tanks are supplied with an internal liquid mixing
tine and an 8" outride valve manifold with four 4" outlets_ The integral running gear allows for
transport and movement of tank.
Inatellation: The client shag provide a flan level base for the tank to sit on end suitable access
roads for the delivery truck. Towing bills, if necemary, are the client's responsibility. Any
permits, labor, piping, pumps, control, power supply or any other materials necessary to install
the tank or move the product from the source to the tank are the sole responsibility of the client.
SeptiClean may provide a separate quote for the installation upon review of the plans and a site
visit.
Septi(~lean will arrange delivery of the tank to the job site. Delivery time is billed from the time
the truck leaves its point of origin until it arrives back at its point of origin. [Demobilization and
return of the tank to the shop are billed at the same rates. The client shall be responsible for
any damage not caused by SeptiClean while the tanks are on client's site and for cleaning
tanks prior to return to rental company. The delivery and installation of these tanks will be billed
at our post *s 12.5%,
Lease: The client shall make monthly lease payments of $1 A75.00 per month.
The minimum lease period Is 3 months_ Thereafter, the minimum lease period will
be 1 month.
12. Pump and Piping:
SeptiClean, Inc_ will install one (1) Gorman -Rupp JTV3t7610 Submersible Solids Handling
Pump (or equrvalenf), if necessary, to transfer waste from the manhole into the temporary storage
vessel.
Instslletlon_ The client shall provide a trench leading, as directly as possible, from the manhole to
IM inlet of the temporary sttxage vessel. This trench should provide sufficient gravity flaw
backwards from the temporary storage vessel to the manhole. The chord iml also be responsible
for providing a 3" core Into the manhole, or riser, in order to install the necessary pipes and hoses.
Lease: The client will be billed lease payments of $337.50 per ~k, every 4 weeks.

13. Portable Generator:
SeP40ean, Inc. will provide, if necessary, One (1) 20KIN Dlesel Generator with an on -board 24-
hour fuel tank to provide electric power to the aforementioned submersible pump.
Installation: The client shag pnvvkk a flr►n, k%,M base on which to place the generator. This base
should be as close ss possible to the temporary storage vessel and to the trench.
Septi0ean will be responsible for maintaining an acceptable amount of fuel within the generator.
This may require a separate tease of a temporary fief tank. The client will be billed for the cost of
the tank and the fuel at a rate of our cost plus 12.5%.
L&"e: The client will be billed lease payments of $675.00 per week, every 4 weeks.
The minimum lease period is 12 weeks. Thereafter, the minimum lease period will
be 1 week.

and calculations ut client's cost. Plans shall be in accordance with the requirements or the

bond estimate letter (if requuk") SeptiClean will courier or mail agreements and applications to the
cliern for signature then submit and track application. Revisions to plans and specs are the
responsibility of the dent and his engineer.

15. Payment: The Client or property owner agrees to pay fix all services provided by SEP77CLEAN
and for all expenses incurred by SEPM EAN In accordance with the fee schedule set forth
herein. Worts requraied by the Client or property kroner in addition to the scope above, Including all
meetings, will be invoiced in acxardwoe Win SEPTICLEAM ryundard Rates' (attached hereto)
from our otlices in Nokesville, Virginia, Ha7k V will be on a 3D -day Cycle for tasks completed or the
percentage d the task completed as determined by SEPTICLFAN. AI accounts are due upon
Presentation. Cbmt or property owner agrees that with respW to any amounts remaining unpaid
more than 313 -days from Moe slate of billing, Client or property owner shall pay interest at the rate of
eighteen percent (18%) per annum or the matimurn interest rate allowed by law, until the twilling is
paid In full. If the atxourd remnirts delinquent for more $hart 3D -days, SEPTICLEAN shall have the
right to Cease all servkae on the project without notice In the event that a delinquent account is
places In the hands of an attorney or cvttedion agency for collection, the Client or property owner
agrees to waive " benefits of all exemptions as to bhe delinquent account and further agrees to
pay sit expenses SeptiClean incurred in ccliecting some, including without Ilmiiaticin, attnmey fees
in the amount of 1/3 of the total amount awarded or the actual amount of attorneys fees Incurred,
whichever is greater, collection agency feet, court cost% rand all other Costs incurred by
SEPTtCLEAN. Each party consents and submits itself to the euourts of The Cornmcrrni_alth of
Virginia and to venue in Prince Wflllarn County, Arginia.
G. Safety: talent or property owner acknowledges that some of the services regOred hereunder may
require the digging of open branches, pits, prpfife holes and or other ground disturbances which
may remain In existence for periods of time. the refilfntg of which addressed in the scope above.
Client or property owner acknowledges that such conditkxis may damage or des" crops, trees or
other vegetatlon and may represent a safety hazard to people, pots and Ilvesbx* Including the risk
of injury or death. CLIENT OR PROPERTY OWNER ASSUMES FtnL RESPONSIBILiTY FOR

TAKING ALL APPROPRIATE SAFETY PRECAUTIONS TO ADEQUATELY SECURE THE
PROPERTY DURING THE EXISTENCE OF SUCH ALTERED GROUND CONDITIONS. Clierrt or
property owner is responsible for the filling or cost of filling all holes in accordanoe with the scope
above_ Client or property owner is solely responsible for otherwise restoring the dishtr6ed Area to
its original condition to the extu nt necessary or required by the property owner, policy, code,
regulation or law. Client or property owner agrees to hold harmless and indemnify SEPTICLEAN
from and aAatnst ati claims, tiabilifies, demands for property damage, bodlly injury, or krises
SeptiClean of any nature whatsoever, including the costs of defense and attorneys fees, arising out
of, or In any way relating to, any altered oondition of the property on the work undertaken.
17. Ut11ltfes: The Client or property owner shall be responsible for acc r ately advising SEPT7CLEAN
of the location of at subterfanean sPuclures and utilities. In areas where services am provided fee
of charge by MISS UTILITY, SEPTtCLEAN Will call MISS UTILITY on behalf of the Client or
property owner as a convenience. If MISS UTILITY requires a site meeting, costs YAN be billed in
accordance with SEPTICLEAN Standard Renins . With rospect to SEPTICLLAN, Client or property
otnner remains solely responsible for the accuracy of the location of all subterranean strur tx" and
utilities_ Client or property owner agrees to hold harmless and indemnify SEPTIC-EAN from and
against 0 Balms, liabilities, losses SeptiClean damages, bodily injury, or leasee SeptrClean of any
nature whatsoever, including the costs of defense, attorneys fess arising out of damage done to

18. Assignment= The conautting services provided hereunder are for the sole and exclusive use and
benefit of the named Client or prop" owner. Pio person or entity other than SEPTICLEAN and
the named Client or property owner shall be deemed to be a party to, or fhird party beneficiary of
this Agreement Clierd or property owner may not assign or transfer any ripts. or interests arising
under this Agreement without rhe wrtttttn consent of SEPTICLEAN.
19. project Start: A signed original of this Agreement returned to SEPTICLEAN will serve as
an authrximbon to proceed with the services. The person signing this Agreement warrants that he
or she has the authprity to sign as or on behalf of the Client or property owner. This agreement
may be executed by a fk,5imile signature, which when so executed Shall be deemed to be an
original. The estimated time frame for start of the work proposed is 2-3 weeks from the execution

20. Terms & Congttlons: This Agreement is subject to all of the "Terms and Conditions for
Consulting Servicers" set forth on the reverse side hereof and InoorporabW by reference herein
This Agreement is u fered in consideration d the laws, regulations, codes and policies as of the
data the Agreement is offered. Changes may necessitate a change In work scope and or casts.

21. Disckssure: Principals of Sephrjean of Virginia, Inc. have principal interests In Soils &
Environmental Services, Inc. and Onsite Solutions of Virginia Inc. SeptiClean is a company
devoted to tank cleaning and pump and haul operations_ SES and Onsite Provide service,
maintenance, compliance sampling & repair of conventional, traditional and alternative systems_
SES, Inc. is a firm dedicated to investigation and design of onsite sewage disposal systems.

assessments and underground storage twk removal and remediation, This contract in no way
obli$ptes the Client or property owner use SES or Onsite for ongoing servkm needs.
